1. INTRODUCTION AND ACCEPTANCE

Welcome to MBS Manufacturing Inc. ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website located at https://mbsmfg.com (the "Site"), as well as any purchases of products, specialized tools, and equipment made through our storefront or connected automated AI-powered commerce channels, including Google Agentic Commerce and the Google Universal Commerce Protocol (UCP).

By accessing the Site, registering an account, or placing an order, you agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease using the Site and refrain from making any purchases.

2. BUSINESS AND ORDER PROCESSING

All orders placed on our Site are processed directly by our team to maintain operational integrity and speed:

• Order Cut-Off Time: The daily cut-off time for order processing is 12:30 PM Central Time (CT), Monday through Friday.
• Processing Schedule: Orders placed after 12:30 PM CT, or on weekends and federal holidays, will be processed on the next business day.

3. SHIPPING, DELIVERY, AND RISK OF LOSS

• Free Shipping Offer: We offer free standard shipping on orders delivered within the contiguous United States.
• Delivery Carriers: Physical shipments are handled via trusted third-party carriers, including the United States Postal Service (USPS), UPS, and FedEx.
• F.O.B. Shipping Point & Risk of Loss: All sales are strictly F.O.B. Shipping Point (Franklin Park, Illinois), pursuant to the Uniform Commercial Code as adopted in Illinois (810 ILCS 5/2-319). Consequently, title and risk of loss pass to you immediately upon our due delivery of the goods to the carrier. MBS Manufacturing Inc. is not liable for lost, stolen (including "porch piracy"), or damaged packages once the carrier has taken possession, nor for transit delays beyond our direct control.
• Force Majeure: We shall not be liable for any delays or failures in performance resulting from acts beyond our reasonable control, including but not limited to acts of God, supply chain disruptions, carrier strikes, or severe weather conditions.

4. RETURNS, REFUNDS, AND ANTI-DISPUTE POLICY

• Return Authorization: All returns must be authorized by us in writing prior to shipment. To initiate a return, contact us at info@mbsmfg.com. Unauthorized returns will not be accepted and may be refused at the receiver's expense.
• Fraud Prevention: To prevent fraudulent chargebacks, identity theft, and carding attacks, we log, monitor, and audit all transactions through secure processors (including Braintree and Stripe). In the event of a verified billing discrepancy, mismatched identity, or suspected unauthorized card usage, we reserve the right to issue a full refund to the original payment method and cancel the order immediately.
• Agreement Against Unauthorized Disputes: By completing your purchase, you explicitly acknowledge that you have reviewed the product specifications and package inclusions. You agree to contact our customer support team to resolve any issues in good faith before initiating a formal dispute or chargeback with your financial institution. • Merchant of Record: MBS Manufacturing Inc. remains the primary Merchant of Record for the transaction.
• Binding Rates: Prices, taxes, and shipping rates calculated by BigCommerce and passed to the AI platform at the moment of purchase are final and binding.
• Digital Signature: Your submission of a purchase via an AI channel constitutes a valid digital signature and express acceptance of these Terms under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act).

6. USE OF SPECIALIZED TOOLS AND LIMITATION OF LIABILITY

• Intended Use: Our products are designed for use by qualified professionals or individuals with appropriate mechanical expertise, as demonstrated in our product documentation.
• Disclaimer of Warranties: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE UNIFORM COMMERCIAL CODE AS ADOPTED IN ILLINOIS (810 ILCS 5/2-316), ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." MBS MANUFACTURING INC. EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
• Limitation of Liability: IN NO EVENT SHALL MBS MANUFACTURING INC., ITS DIRECTORS, OFFICERS, OR EMPLOYEES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS OR DAMAGE TO PROPERTY) RESULTING FROM THE IMPROPER USE, INSTALLATION, OR MODIFICATION OF OUR TOOLS. YOU ASSUME ALL RISKS ASSOCIATED WITH THE APPLICATION OF THESE TOOLS ON ANY VEHICLES OR MACHINERY.

7. THIRD-PARTY PAYMENTS AND ACCOUNT SECURITY

• Payment Restrictions: To prevent money laundering and fraud, we restrict third-party payments. The billing name on the payment method must match the account holder's legal name.
• Account Protection: You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for data breaches, unauthorized orders, or losses resulting from your negligence or use of weak passwords.

8. GOVERNING LAW, JURISDICTION, AND DISPUTE RESOLUTION

10. SEVERABILITY AND ENTIRE AGREEMENT
