1. Introduction and Acceptance of Terms

Welcome to MBS Manufacturing Inc. ("we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the MBS Manufacturing website located at https://mbsmfg.com (the "Site"), as well as purchases of products, specialized tools, equipment, and related merchandise made through our online storefront or connected automated commerce channels, including Google Agentic Commerce and the Google Universal Commerce Protocol (UCP).

By accessing the Site, creating or registering an account, submitting an order, or purchasing products from MBS Manufacturing Inc., you agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Site and refrain from placing an order.

2. Business Information and Online Order Processing

Orders placed through the MBS Manufacturing online store are processed directly by our team to support accurate order fulfillment, payment processing, and timely shipment.

• Order Cut-Off Time: The daily order-processing cut-off time is 12:30 PM Central Time (CT), Monday through Friday.
• Processing Schedule: Orders submitted after 12:30 PM CT, or on weekends and federal holidays, will be processed on the next business day.

3. Shipping, Delivery, and Risk of Loss

• Free Standard Shipping: MBS Manufacturing Inc. offers free standard shipping on qualifying orders delivered within the contiguous United States.
• Delivery Carriers: Physical orders may be shipped through third-party carriers, including the United States Postal Service (USPS), UPS, and FedEx.
• F.O.B. Shipping Point and Risk of Loss: All sales are strictly F.O.B. Shipping Point (Franklin Park, Illinois), pursuant to the Uniform Commercial Code as adopted in Illinois (810 ILCS 5/2-319). Accordingly, title and risk of loss pass to you upon our due delivery of the goods to the carrier. MBS Manufacturing Inc. is not liable for lost, stolen, including "porch piracy," or damaged packages after the carrier has taken possession, or for transit delays outside our direct control.
• Force Majeure: MBS Manufacturing Inc. shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including acts of God, supply chain disruptions, carrier strikes, severe weather conditions, or other comparable events.

4. Returns, Refunds, and Payment Dispute Policy

• Return Authorization: All returns must be authorized by MBS Manufacturing Inc. in writing before the product is shipped back. To request a return authorization, contact info@mbsmfg.com. Unauthorized returns may be refused and may be returned at the sender's expense.
• Fraud Prevention: To help prevent fraudulent transactions, unauthorized card use, identity theft, and payment fraud, we may monitor, log, and audit transactions through secure payment processors, including Braintree and Stripe. If we identify a verified billing discrepancy, identity mismatch, or suspected unauthorized payment-card activity, MBS Manufacturing Inc. reserves the right to cancel the order and issue a refund to the original payment method.

• MBS Manufacturing Inc. remains the primary Merchant of Record for the transaction.
• Prices, applicable taxes, and shipping charges calculated by BigCommerce and transmitted to the applicable AI commerce platform at the time of purchase are final and binding, subject to applicable law and any applicable cancellation or refund rights.
• Submission of a purchase through an authorized AI commerce channel constitutes a valid digital transaction and express acceptance of these Terms under applicable electronic-signature laws, including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act).

6. Specialized Motorcycle, Chainsaw, and Marine Tools

• Intended Use: MBS Manufacturing Inc. sells specialized motorcycle, chainsaw, and marine tools, including pullers, alignment bars, bearing kits, and other specialty mechanical tools. These products are intended for qualified professionals or individuals with appropriate mechanical knowledge and experience and should be used in accordance with applicable product documentation and safety instructions.
• DISCLAIMER OF WARRANTIES: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE UNIFORM COMMERCIAL CODE AS ADOPTED IN ILLINOIS (810 ILCS 5/2-316), ALL PRODUCTS AND TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE." MBS MANUFACTURING INC. EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN IMPLIED WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
• Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MBS MANUFACTURING INC., ITS DIRECTORS, OFFICERS, OR EMPLOYEES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS OR DAMAGE TO PROPERTY, RESULTING FROM IMPROPER USE, INSTALLATION, MODIFICATION, OR APPLICATION OF OUR TOOLS. YOU ASSUME ALL RISKS ASSOCIATED WITH THE APPLICATION OF THESE TOOLS TO VEHICLES, ENGINES, MACHINERY, OR OTHER EQUIPMENT.

7. Payment Processing, Third-Party Payments, and Account Security

• Payment Restrictions: To help prevent money laundering, payment fraud, and unauthorized transactions, MBS Manufacturing Inc. may restrict or decline third-party payments. The billing name associated with a payment method must correspond to the account holder's legal name or be otherwise explicitly verified.
• Account Security: You are solely responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account. MBS Manufacturing Inc. is not responsible for unauthorized orders or losses resulting from your negligence, compromised credentials, weak passwords, or failure to maintain account security.

8. Governing Law, Jurisdiction, and Dispute Resolution

• Attorney's Fees: In connection with any informal resolution, mediation, arbitration, or litigation arising from these Terms, each party shall bear its own respective attorney's fees, costs, and expenses, regardless of the outcome.
• Exclusive Jurisdiction: You agree that any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Cook County, Illinois. Both parties hereby waive the right to participate in class action lawsuits or representative proceedings.

Legal, financial, transactional, and promotional notices may be sent to the email address associated with your account or provided during checkout. Notifications are deemed delivered twenty-four (24) hours after transmission by our system. You are responsible for maintaining accurate and current contact information.

10. Severability and Entire Agreement

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
